These Membership Terms ("Membership Terms") for The Capital Coffee Membership Program govern registration, participation, accumulation and use of Membership Points, the determination of membership tiers, the use of vouchers and other benefits under The Capital Coffee Membership Program. Customers should read the Membership Terms carefully before registering for or using the Program.
1. Membership Program
The Capital Coffee Membership Program ("Program") is a customer care program organized and operated by The Capital Coffee to record eligible transactions, grant Membership Points, determine membership tiers and provide benefits to customers who participate in the Program.
Participation in the Program is voluntary. By registering for the Program or continuing to use a membership account after these Membership Terms take effect, customers confirm they have had a reasonable opportunity to read, understand and accept the terms applicable to the Program.
2. Definitions
“The Capital Coffee” or "we" is the entity organizing and operating the Program.
“Member” means a customer who has validly registered and has a membership account in The Capital Coffee system.
“Membership account” means the account used to identify the Member and to manage information related to the Program.
“Member ID” means the unique identification code issued by the system to a membership account.
“Membership Points” or "Points" means the unit recording benefits in the Program according to the rules in force at the relevant time.
“Eligible transaction” means a transaction that meets the conditions to be recorded for Points, considered for tier evaluation or entitled to benefits under these Membership Terms and the Program Rules in effect.
“Membership tier” means the level of membership determined according to the Program's criteria.
“Member benefits” include Points, vouchers, offers, tier-based benefits or other benefits announced by The Capital Coffee.
“Program Rules” means the rules in effect regarding Points accrual, Points usage, tier evaluation, benefits, limits and other operational conditions announced by The Capital Coffee from time to time.
3. Eligibility
Customers may register for the Program through official registration channels provided by The Capital Coffee. Customers must provide the information necessary to create and manage the membership account and are responsible for the accuracy of the information they supply.
The Capital Coffee may require verification of information when necessary to protect accounts, determine account ownership, process benefits or prevent fraud. An individual must not intentionally create or use multiple accounts to gain benefits in violation of the Program's conditions.
Where law prescribes specific conditions for minors or persons with limited legal capacity, registration and use of the Program must comply with those provisions.
4. Membership Account and Member ID
Each membership account is linked to a unique Member ID. The Member ID is used to associate eligible transactions with Points, membership tier, vouchers, benefits and Program history.
Membership accounts and Member IDs are for the account holder. Members must not sell, lease or use accounts to commit fraud. Transfer or consolidation of accounts is permitted only when The Capital Coffee provides such functionality or approves it after valid verification.
Members are responsible for protecting their login information and account authentication methods.
5. Applicable Channels
The Program may apply across The Capital Coffee's official channels activated for the Program, including The Capital Coffee website, Web Retail, Drink Ordering, eligible Experience Points/POS and the official The Capital Coffee application when released.
The specific scope of applicability may vary by benefit or program. Some products, locations, sales channels, partners or types of transactions may be outside the scope of applicability if so stated in the terms of the corresponding benefit or program.
6. Eligible Transactions
A transaction is recorded for the Program when it meets the conditions applicable at the time of the transaction. The transaction value used to calculate Points or evaluate tiers is determined on the basis of the actual eligible value after accounting for discounts, vouchers, refunds, cancellations and related adjustments according to the rules in effect.
Fees, products or values excluded from Points accrual or tier consideration will not be counted where the Program conditions explicitly provide so. Transactions that are cancelled, refunded, determined to be fraudulent, test transactions or transactions that do not meet Program conditions may not be recorded or may be adjusted after being recorded.
7. Accumulation of Membership Points
Members earn Points from eligible transactions according to the rates and conditions announced by The Capital Coffee at the time of application. The Points accrual rate may depend on membership tier, product type, transaction channel, promotional program or other conditions announced.
Points are recorded only after the transaction reaches a qualified status in the system. The Capital Coffee may run Point multiplier programs or grant additional Points; the conditions of such programs will be announced separately.
8. Value and Use of Points
Membership Points are not money, deposits, securities, payment assets or payment instruments and are not convertible into cash, except where law or a specific program provides otherwise.
Members may use Points for eligible transactions or benefits according to the conversion value, usage limits and conditions announced at the time of use. If a transaction allows the use of Points combined with other payment methods, the remaining transaction value must be paid by a payment method supported by The Capital Coffee.
Points may not be bought, sold or transferred between accounts, unless The Capital Coffee officially provides such functionality.
9. Validity and Expiration of Points
Points may have a validity period. The Points validity period and the method of determining the expiration date are announced in the applicable Program Rules.
Members are responsible for monitoring Points balances and expiration dates through the channels provided by The Capital Coffee. Points that expire in accordance with announced conditions will no longer have any value.
Changes to Points validity shall not be applied in a manner that deprives Members of rights already accrued in violation of the law or of the conditions that were announced for those Points.
10. Membership Tiers
The Program has three membership tiers: Member → Gold → Signature.
Member is the basic tier available to eligible Program participants. Gold and Signature are higher tiers determined by eligible spending and criteria announced.
Tier evaluation is conducted on a rolling 12 months basis, meaning the system reviews eligible transaction values within a continuous 12-month period according to the Program Rules. Tier attainment thresholds, conditions for maintaining tiers and the corresponding benefits are announced from time to time.
Changes to thresholds for future periods do not alter transaction history or tier history that have been validly recorded.
11. Tier Benefits
Each membership tier may receive different benefits. Benefits may include differing Points accrual rates, vouchers, member-exclusive offers, tier-based offers, birthday benefits, product or service privileges or other benefits announced by The Capital Coffee.
Benefits are not guaranteed to remain permanent and may change for future application periods in accordance with Section 18 of these Terms. Benefits already granted and still in effect will be handled according to the conditions accompanying those benefits.
12. Member Vouchers and Offers
Vouchers or offers may have their own conditions, including usage period; applicable products or services; minimum transaction value; applicable channels or locations; number of uses; eligible recipients or tiers; compatibility with other offers; and other reasonable conditions to be announced.
Specific conditions must be provided to Members before using vouchers or offers. Vouchers are not exchangeable for cash unless otherwise provided.
13. Transaction Cancellation, Returns and Refunds
When a transaction is cancelled, fully or partially refunded, or adjusted, Points, tier progression, vouchers and benefits arising from the transaction may be adjusted accordingly.
If Points or benefits arising from a transaction have been used before that transaction is cancelled or refunded, The Capital Coffee may make reasonable adjustments to restore the account to the state corresponding to the actual transaction. Adjustments must not deprive consumers of other rights afforded by law.
The process for returns and refunds of goods or services continues to be governed by the Return Policy, Payment Policy and related commercial policies.
14. Adjustment of Points and Benefits
The Capital Coffee may adjust Points, tiers or benefits where the system recorded incorrectly; a transaction is adjusted, cancelled or refunded; Points or benefits were granted in duplicate; a transaction does not meet Program conditions; there are grounds to determine benefits arose from fraud or abuse; or adjustment is necessary to comply with legal requests.
Adjustments must be justified and auditable in the system. Members have the right to request a review if they believe an adjustment is incorrect.
15. Account Security
Members are responsible for taking reasonable measures to protect their account, password, OTP and other authentication information. Members should notify The Capital Coffee if they detect or have grounds to believe their account has been accessed without authorization.
The Capital Coffee may temporarily restrict certain functions to protect accounts during verification when reasonable security risks are detected.
16. Fraud and Program Abuse
The Program must not be used to create fake transactions or transactions without genuine purchase intent for the purpose of earning Points; exploit technical errors to obtain undeserved benefits; use another person's account without authorization; create multiple accounts to exceed benefit limits; trade Points, vouchers or accounts in violation of these Terms; manipulate transactions or commit other fraudulent acts.
When reasonable signs of irregularity exist, The Capital Coffee may suspend recording or use of benefits for the time necessary to verify. Only after there is a basis to determine misconduct will The Capital Coffee make adjustments, reclaim benefits or apply measures proportionate to the severity of the violation.
Members have the right to contact The Capital Coffee to request a review of decisions related to their account.
17. Personal Data
Collection and processing of personal data in the Program is carried out in accordance with the Information Security Policy, Personal Data Protection Policy of The Capital Coffee and applicable law.
Data related to the Program is processed only for the purposes identified and notified, within the scope necessary to register and manage accounts, identify Members, record transactions, manage Points and tiers, provide benefits, support customers, prevent fraud, ensure system security and fulfill legal obligations.
Participation in the Program is not by itself understood as Member consent to receive unsolicited advertising or marketing. Use of personal data for advertising, marketing or other purposes requiring separate consent must comply with consent requirements and data subject rights under the law. These Membership Terms do not replace the privacy and personal data protection policies.
18. Program and Program Rules Changes
The Capital Coffee may adjust the Program Rules, including Points accrual rates, Points usage value, usage limits, Points validity, tier thresholds, benefits or scope of application to meet operational, business or security needs or legal requirements.
Changes applicable to the future will be announced through one or more official The Capital Coffee channels before application when required by law or by the nature of the change.
The Capital Coffee will not use this modification right to unilaterally remove a benefit that has been validly accrued by a Member in violation of the law or of the conditions that were announced.
19. Program Suspension
The Capital Coffee may suspend all or part of the Program when necessary due to maintenance, technical incidents, system security, fraud prevention, force majeure events or requests from competent authorities.
During suspension, issuance of new Points or benefits may be temporarily halted. Suspension does not automatically cancel accounts, Points, tiers or benefits that were validly recorded prior to the suspension.
20. Program Termination
The Capital Coffee may terminate the Program in accordance with legal provisions. In the event of Program termination, The Capital Coffee will publish information on the termination date and the handling plan for Points, vouchers or remaining valid benefits in accordance with applicable regulations.
Termination of the Program does not affect liability for obligations arising prior to the termination date.
21. Termination of Membership Account
Members may request account closure through methods provided by The Capital Coffee. Account closure may result in the inability to continue using Points or benefits linked to the account after the request is completed. Before confirming account closure, The Capital Coffee will provide necessary information about consequences to remaining benefits where required by law or by the nature of the transaction.
The Capital Coffee may terminate or restrict accounts when there are grounds to determine a Member has seriously violated the Membership Terms, committed fraud or used the Program unlawfully. Measures applied will be proportionate to the nature and severity of the violation.
22. Complaints and Reconciliation
Members have the right to request review of issues related to Points, recorded transactions, membership tier, vouchers, benefits, account adjustments or other matters under the Program.
The Capital Coffee may request necessary information to verify transactions and account ownership. Receipt and handling of complaints is carried out according to The Capital Coffee's Complaint Handling Policy and consumer protection laws.
23. The Capital Coffee's Responsibilities
The Capital Coffee is responsible for operating the Program in accordance with the announced conditions and applicable law. In case of system errors affecting Points or benefit recording, The Capital Coffee will inspect and make appropriate adjustments based on verifiable transaction data.
Nothing in these Membership Terms shall be construed as excluding or limiting The Capital Coffee's mandatory responsibilities or consumers' mandatory rights under the law.
24. Member's Responsibilities
Members are responsible for providing accurate information; protecting their account; using the Program for legitimate purposes; checking transaction and benefit information; notifying The Capital Coffee when detecting errors or unauthorized access; and not committing fraud or abusing the Program.
Performing these responsibilities does not waive or limit Members' rights as consumers.
25. Relationship with Promotional Programs
The Membership Program and promotional programs are separate commercial programs. A promotional program may be for all customers, only for Members or for certain membership tiers.
Conditions of each promotional program are governed by the Promotional Program Terms and Conditions and the specific conditions of the respective program. If a Member benefit is used together with a promotional program, combinability is determined according to the conditions announced for that program.
26. Amendment of Membership Terms
The Capital Coffee may amend the Membership Terms as necessary to reflect changes to the Program, business operations or the law. The new version and effective date will be published on appropriate official channels.
For changes that significantly affect Members' rights and obligations, The Capital Coffee will notify in a manner and within a time frame consistent with applicable law.
The version applicable to an event or transaction is determined by the time the event or transaction arises, unless otherwise required by law.
27. Governing Law and Dispute Resolution
These Membership Terms and the Program are governed by the laws of Vietnam.
In case of disputes, Members and The Capital Coffee are encouraged to first communicate through official support channels to seek resolution. Pursuing dispute resolution does not limit the right to lodge complaints, request competent authorities' intervention, mediation, arbitration or initiate legal proceedings before competent courts as permitted by law.
Where multiple interpretations exist regarding consumer transaction terms, interpretation shall follow consumer protection laws.

Requests related to the Membership Program, accounts, Points, tiers, vouchers, benefits or complaints are received through the official contact channels of The Capital Coffee published on The Capital Coffee website and application when released.

29. Related Policies
These Membership Terms should be read together with The Capital Coffee's related documents, including the General Terms and Conditions; Information Security Policy; Personal Data Protection Policy; Payment Policy; Shipping Policy; Return Policy; Complaint Handling Policy; and the Promotional Program Terms and Conditions.
Where a specialized policy provides more specific provisions on a matter within its scope, the specialized policy applies to that matter, but must not limit consumers' mandatory rights under the law.
